ARTICLE VI - BOARD OF DIRECTORS

Section 1. The membership of the Board of Directors shall include the elected officers, the Immediate Past President and the Chairmen of the Standing Committees. The President shall appoint the committee chairmen subject to the approval of a majority of the elected officers.

Section 2. Duties: The Board of Directors shall manage the affairs of the Association in compliance with the Articles of Incorporation, these Bylaws and the Policies and Procedures.

Section 3. Meetings: The Board of Directors shall hold regular monthly meetings from August through June, with the exception of December, unless otherwise ordered by the elected officers. The day and time shall be determined by the Board. Meetings of the Board of Directors shall be open to members of the Association.

Section 4. Transition Meeting: The transition meeting of the outgoing and incoming Board of Directors shall be held after the May annual membership meeting and prior to July 1. At this meeting the outgoing officers and directors will provide appropriate briefings, reports and other records to the incoming officers and directors.

Section 5. Special Meetings: Special meetings of the directors may be called by the President with at least twenty-four (24) hours’ notice and shall be called by the President upon the written petition of three (3) directors.

Section 6. Quorum: The quorum for meetings of the Board of Directors shall be ten (10) members, provided that at least two officers are present.
